US Terms of Business


                                          SERVICES CONTRACT FOR THE PROVISION OF PERMANENT

                                                 RECRUITMENT & SEARCH SERVICES

1. DEFINITIONS

"Agency" refers to Innotech Recruit Limited, a corporation registered in the United Kingdom, with its principal place of business at Innotech House, Beaminster Road, Stockport, Cheshire, SK4 3HT ("the Agency").


"Candidate" refers to any individual or entity introduced by the Agency to the Client for an Engagement, including but not limited to employees, officers, or contractors.


"Client" refers to any person, firm, corporation, or entity, including subsidiaries or affiliates, that engages or considers engaging a Candidate introduced by the Agency.


"Engagement" refers to the hiring, employment, or use of a Candidate by the Client or a third party introduced by the Client, in any capacity, whether under an employment contract, agency agreement, consultancy agreement, or otherwise.


"Introduction" refers to (i) the provision of information identifying a Candidate or (ii) any form of interview (virtual or in-person) between a Candidate and the Client following a request by the Client, leading to an Engagement.

"Introduction Fee" refers to the fee payable by the Client to the Agency for an Introduction that results in an Engagement.


"Remuneration" includes all forms of compensation received by the Candidate, including salary, bonuses, commissions, allowances, equity, and benefits.


"Replacement Candidate" refers to a Candidate provided to replace a previously Engaged Candidate whose Engagement was terminated within eight (8) weeks of commencement.


2. CONTRACT

These Terms constitute a binding agreement between the Agency and the Client and are deemed accepted upon the Client’s request for recruitment services, an Introduction, or an Engagement.


These Terms supersede all prior agreements or representations and prevail over any conflicting terms proposed by the Client unless expressly agreed to in writing by the Agency.


No variation to these Terms shall be valid unless mutually agreed in writing. 3. FEES & PAYMENT


The Client agrees to notify the Agency immediately upon making an offer of Engagement to a Candidate.


The Client must pay all invoices within five (5) days of the Candidate’s start date. Late payments incur interest at a rate of 1.5% per month.


Engagement Fee: A non-refundable Engagement Fee of 20% of the Introduction Fee is payable upon signing this agreement.


4. REFUNDS & REPLACEMENTS

If an Engagement is terminated within twelve (12) weeks (excluding redundancy or corporate restructuring), the Agency shall use its best efforts to provide a Replacement Candidate within twelve (12) weeks.

Refunds will only be issued if no suitable Replacement Candidate is found within the designated period, provided the Client:


- Notifies the Agency within seven (7) days of termination.

- Grants the Agency exclusive replacement rights during this period.


5. CONFIDENTIALITY

Candidate details are confidential. If a Candidate is referred to a third party and engaged, the Client is responsible for paying the Introduction Fee.


6. LIABILITY & INDEMNIFICATION

The Agency is not responsible for:


- The accuracy of Candidate information.

- The suitability or performance of any Candidate.

- Any damages or losses resulting from the Client’s hiring decision.


The Client agrees to indemnify the Agency against any claims arising from the Client’s Engagement of a Candidate.


7. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. The parties consent to the exclusive jurisdiction of the courts of Delaware.


8. ENTIRE AGREEMENT


This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

Engagement Fee: 20% of the Introduction Fee is payable upfront
